Terms & Conditions
Effective September 20, 2026 · These terms govern steadyorbitsystems.com, steadyorbitsystems.ai, and work performed by Steady Orbit Systems.
1. Agreement to these terms
These Terms & Conditions (“Terms”) form an agreement between you and Steady Orbit Systems (“Steady Orbit,” “we,” “us”), a design and automation consultancy based in California. By using our website or engaging us for services, you agree to these Terms. If you do not agree, do not use the site or the services.
2. Services
Steady Orbit designs and builds websites, workflow and CRM automation, and AI agents, and provides related consulting (the “Services”). The specific scope, schedule, deliverables, and fees for any engagement are defined in a written proposal, statement of work, or messaging agreed to by both parties (each, an “Agreement”). These Terms apply to every Agreement; if an Agreement conflicts with these Terms, the Agreement controls for that engagement.
3. Quotes and payment
Prices we quote are estimates unless the Agreement states a fixed fee. Invoices are payable within 15 days of receipt unless the Agreement says otherwise. Late payments may accrue a charge of 1.5% per month or the maximum allowed by law, and we may pause work on overdue accounts after written notice.
4. Client responsibilities
You agree to: (a) provide timely access to the accounts, content, and information we need; (b) confirm that any material you supply does not infringe others’ rights; and (c) review deliverables and send consolidated feedback within any review window stated in the Agreement.
5. Intellectual property
On full payment, you own the final custom deliverables created for you under the Agreement (including designs, copy, and automation built for your business). We retain ownership of our pre-existing tools, templates, and know-how, and grant you a perpetual license to use them as embedded in your deliverables. We may reference your business as a client in our portfolio unless you ask us in writing not to.
6. Warranties and disclaimers
We warrant that Services will be performed in a professional and workmanlike manner. Except as stated in the Agreement or these Terms, the Services and this website are provided “as is” and “as available,” and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AI-generated demonstrations on this website are sample experiences, not professional advice.
7. Limitation of liability
To the maximum extent permitted by law, neither party is liable to the other for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue. Our total liability arising from the Services is limited to the fees you paid us under the applicable Agreement in the three months before the claim. Some states do not allow certain limitations; in that case those limits apply only to the extent permitted.
8. Term and termination
Either party may end an engagement as stated in the Agreement, or on written notice if the other party materially breaches these Terms and does not cure the breach within 15 days. Upon termination you pay for work performed through the effective termination date, and sections 5–7 survive.
9. Governing law and disputes
These Terms are governed by the laws of the State of California, excluding its conflict-of-laws rules. The state and federal courts located in Los Angeles County, California have exclusive jurisdiction over any dispute, except either party may bring a small-claims action. You and we each waive trial by jury and agree to bring claims only in an individual capacity, not as a plaintiff or class member in any class or representative proceeding.
10. Changes to these terms
We may update these Terms from time to time. The version posted on this page is the current version, and continued use of the website after an update means you accept it.
